Since the law, since of 1 October 2012, does not any longer entail the obligation that the founder of a limited liability company (LLC) has to contribute 18.000 euros as start-up capital, it has become easier for entrepreneurs to found a LLC.

Personal liability

Although a LLC has advantages for entrepreneurs in certain aspects, including liability law, the majority of entrepreneurs still stick to a sole proprietorship or to a partnership. The latter is mostly used out of habit or because of fiscal technical reasons.
When choosing a partnership it is a matter of balancing the exclusion of risks of personal liability against fiscal motives.

Partnerships can be divided in the following forms:
